1. Preliminary

eduCloud 402, Navale ICON, Navale IT Zone, Pune Bangalore NH-4, Pune and its subsidiaries, affiliates, successors or assigns “eduCloud”, “we,” “us,” or “our,” the operators of the Website.

“Member” refers to an individual authorised to use the Website and/or the Service by a School/ Institute, whether a member of staff of a School, a Parent, or a Student.

“Membership” means an individual’s licence to access our service and associated login information (such as a login email and password), as authorised.

“Parent” means a parent or legal guardian of a student as the case may be. “Parental” shall be interpreted accordingly.

“Service” refers to the services provided through our Websites.

“School” refers to a school, institute, college, university or tutors which are primary account subscribers to the Service.

“Student” means a student invited to use the Service by a School.

“Website” means our website at eduCloud.com, eduCloud app (iOS and Android), Use of the term “Website” below means the one or more of our Websites, those of which you are a Member, and/or use and access.

“Personal data” means any information relating to a natural person who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, email address, an identification number, location data or an online identifier.

1.2 Terms

These Terms of Service should be read as a whole with the other Terms and Policies, and provide the exclusive terms of the relationship between eduCloud and

  2. Members
  3. Students other users of the Website, and
  4. Any other users.
1.3 Subject to Change

We reserve the right to update and change our Terms of Service on 14 days’ notice. Any new features that augment, enhance, or change the current Service, including the release of new tools and resources, shall be subject to our Terms of Service. Continued use of the Service after any such changes shall constitute consent to such changes. Our current version of the Terms of Service is available at the Terms and Policies page of our Website.

1.4 Violations

Violation of any of these terms by you may result in the termination of (1) your account and/or denial of your ability to access the Websites without notice, and/or (2) the account of the School on 14 days’ notice in writing. eduCloud reserves the right to bar use of the Service by any person or entity that has violated the Terms of Service at any time.

1.5 Disclaimers

To the full extent permitted by law, you agree to use the Service on an “as is” basis and understand that eduCloud is not responsible for prohibiting or regulating in any way any information or data provided or transmitted by the Website (“Content“) , or provided or transmitted by you or any other person. You confirm and agree that eduCloud shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses. This is regardless of whether eduCloud has been advised of the possibility of such damages, whether or not resulting from:

  1. the use or the inability to use the Service
  2. the unauthorized access to or alteration of your transmissions or data
  3. statements or conduct of any third party on the Service
  4. termination of your account; and/or
  5. any other matter relating to the Service.

eduCloud does not warrant that the Service will meet your specific requirements or that the Service will be uninterrupted or error-free. We shall not be liable for and make no warranties in relation to the Website or its functionality, Content or capabilities of the Website, to the fullest extent that such liabilities can be excluded by law.

The information provided on our Website is provided on the basis that we accept no liability for any of the information published.

School and Parents shall:

  1. Ensure that information contained in anything sent to eduCloud is accurate and does not breach any third parties’ rights including trade mark, database right, copyright or other intellectual property rights nor is libelous, obscene, menacing, threatening, radicalising, bullying, offensive, abusive, fraudulent, pornographic, criminal nor infringes the rights of other people such as privacy rights or is in any way illegal or unlawful.
  2. Verify the accuracy of any information before sending it to us; and
  3. Ensure that information provided on the Website complies with all applicable laws and, by posting information, agrees to indemnify us in full on request and continue to indemnify us on request against any claim or liability arising in connection therewith.

Any views expressed in messaging facilities after you login are not those of eduCloud.

We make no statement and provide no warranty that information on our website is accurate, up to date or complete and we accept no liability for any loss or damage caused by anything inaccurate or misleading which without limitation, may contain statistical data which may have inaccuracies or errors. If you find that information on the Website is not accurate, please inform your School in the first instance to have information corrected.

You will ensure at all times that you do not share your designated password with any other person and you maintain active and effective security measures to protect the integrity and security of your and our computer systems. You will be responsible for loss and damage suffered by us where any third party abuses the services using your login details and/or computing environment, including hardware and software.

Information Collection and Use

For a better experience, while using our Service, we may require you to provide us with certain personally identifiable information, including but not limited to UserName, User photograph, User Email, User Address. The information that we request will be retained by us and used as described in this privacy policy.

Drive

Using drive access, the app enables the user to directly access objects which the user wanted to share with the app. App may store information to users drive which is related to user profile and personalization.

Log Data

We want to inform you that whenever you use our Service, in case of an error in the app we collect data and information (through third party products) on your phone called Log Data. This Log Data may include information such as your device Internet Protocol (“IP”) address, device name, operating system version, the configuration of the app when utilizing our Service, the time and date of your use of the Service, and other statistics.

Cookies are files with a small amount of data that is commonly used as an anonymous unique identifier. These are sent to your browser from the website that you visit and are stored on your device internal memory.

2.1 ONLINE FEE PAYMENT TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

2.2 GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

2.3 FEE PAYMENT POLICIES FOR EDUCLOUD USERS

Regarding any fees related queries(amount,date,type etc.) student/parents will contact the institute's Admin/Account department.
While making an online payment, eduCloud is SaaS platform for the payment collection processes. Institutes are the owners of Fee Amount, Transaction and fee policies.
Any amount paid at eduCloud platform can not be canceled or refunded from the platform, you need to contact the institute’s Admin/Account department.
All The Transaction amounts are credited to the respective bank accounts of the institutes.
In case if the amount is deducted and the transaction at eduCloud system reflects as failed, the user should contact the school Admin/Account department. eduCloud will not be responsible for any loss.

In the case of Payment Failure, users may receive a refund(in case if debited) from the institute and not from eduCloud, as per the institute and payment gateway policies. In case if payment remains in process status, users should wait for the next 12 hrs before re-trying for payment. Contact the school accounts department for any discrepancy on online fees faced by you with reference to any of your transaction details.

Per transaction additional 'Transaction charges' would be debited from the user's account, to know transaction charges please,contact the School Admin/Account department.
If the user faces any technical difficulties during payment user can contact eduCloud on support@educloud.in
If the payment is made by means of a card that you do not personally own, the permission of the card owner must always be obtained to make payments using the card. In using the system you confirm that you have such permission.
Information related to payments using debit or credit cards is not accessed or stored by eduCloud.
Refunds will be processed with respect to the Institute and Payment Gateway policies.
In any case, make a note of reference/transaction detail in case of Net banking/Card payment.

IMPORTANT By submitting a payment through the online-payments you are agreeing to these Fee payment policies.

2.4 ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

2.5 MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Certain products or services may be available exclusively online through the website.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. 2.13 Gsuite domain email ids

email ids can be provided only to educational institutes, schools etc which are recognized by the Government of India and Education board. Such institutes should possess all relevant registration documents.

2.14 Downgrading subscription

Customers can always downgrade their subscription anytime they want. The payment made earlier cannot be refunded or credited. The difference in amount cannot be refunded or credited. In such cases payment once made will not be refunded or credited. After downgrading, custom smartphone app may not be supported from EduCloud.

2.15 Pricing

Our pricing currency depends on the country of sale. For all countries outside India, amount is charged in dollars. If customers outside India pay for thier subscription in INR, they agree to pay the difference in amount(wrto dollars).

2.16 PROHIBITED USES

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. You agree that you will not share/ distribute/ show/ give access of EduCloud to any of our competitors. Competitors and entities invloved in similar business activities as EduCloud cannot sign up on EduCloud. We reserve the right to deactivate/ delete/ suspend such accounts as per our discretion. EduCloud reserves the right to delete/ deactivate/ suspend accounts having incorrect/ fake/ spam names, institute names, locations, contact numbers and invloved in spam activities.

3. Copyright, Usage and Content Ownership
3.1

eduCloud claims no intellectual property rights to Content published and/or loaded to the Service by Members or Schools. You irrevocably grant us a perpetual licence to publish Content on the Websites for the duration of our Agreement with your School.

3.2

Subject to the consent of the relevant School, Members may download material from the Website for their sole purpose of retaining copies for your own personal use alone, subject to rights granted by others to you. The Service is made available to Schools and Members for school administration and academic functions, not for any other purpose, and you shall not access the Service for any other purpose without the written permission of eduCloud.

3.3

You may not modify, adapt or hack the Service or modify the Websites so as to falsely imply that it is associated with the Service, or any other service of eduCloud. eduCloud will not be responsible for loss of data, settings due to technical errors and or bugs.

3.4

Any hypertext links to other sites, which appear on the Website are operated by third parties and use of such a link means you are leaving the Website. We are not responsible for, and give no warranties, guarantees or representations in respect of linked sites or information upon them.

3.5

eduCloud does not sell any information or data available on its platform to any third party. Data of members, parents and students is used for internal analytics only. eduCloud collects basic information about members when they sign up. Member schools and parents will be responsible for all other data provided by them in the product. eduCloud takes no responsibility for the data provided by members.

3.6

eduCloud is not responsible for loss or theft of data in case of hack or illegal cyber practices. educloud is not responsible for loss of service or any features to its members due to changes / updates / upgrades / disputes / stoppage of service from educloud’s third party service providers like Google, Amazon Web Services and others.

3.7

eduCloud is a SaaS LMS platform. Data present on our website is owned by the member schools. Clients/ customers/ internal users of member schools are their own responsibility. edCloud will not be responsible for loss of data/ theft or any other malpractice carried out by member school’s users.

3.8

By signing up to eduCloud, you give us consent to send you emails, newsletters, automail notifications. To opt out of emails, newsletters and automails, contact your member school and ask to remove yourself from the platform.

3.9

EduCloud free version has restrictions such as number of students, teachers, academic years, profiles, number of report cards, data exports, data migration. We reserve the right to disable free instances in the case of inactivity, junk activities, illegal and improper use.

Analysis

For statistical analyses we use web analytics services to collect information about the use of this site.

4. Modifications to the Service and Prices
4.1

Prices of all plans, including but not limited to annual subscription fees to the Service, are subject to change without notice.

4.2

eduCloud can apply data limits for its services used by members, parents and students at its own discretion. eduCloud reserves the right to convert any free account into a paid account at their own discretion.

4.3

eduCloud shall not be liable to you or to any third party as a result of any modification, price change, suspension or discontinuance of the Service, loss of data, or any consequence thereof whatsoever.

5. Amendments to this Policy

We reserve the right to change this policy from time to time by updating our website respectively. Please visit the website regularly and check our current privacy policy.

6. Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

In no case shall EduCloud Infotech LLP, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
